1. General Provisions and Definitions

1.1.

This document is a public offer (hereinafter the “Offer”) of the seller — Sole Proprietor (FOP) Dzhurynska Klavdiia Mykolaivna (hereinafter the “Seller”) — to conclude a distance sales agreement with any legally capable natural person (hereinafter the “Buyer”) under the terms set out below.

1.2.

This Offer constitutes a public contract within the meaning of the civil legislation of Ukraine.

1.3.

Website / online store — the Seller’s web resource on the Shopify platform through which product information, order placement, and other actions are carried out.

1.4.

Goods — jewelry items and related products, descriptions of which are published on the Website (hereinafter the “Goods”).

1.5.

Order — a properly placed request by the Buyer to purchase selected Goods under the terms of this Offer, submitted via the Website interface or another agreed channel.


2. Seller Details and Mandatory Information

2.1.

The Seller (electronic commerce entity) ensures direct, simple, and stable access for the Buyer to information about itself, as required by the Law of Ukraine “On Electronic Commerce” No. 675-VIII.

2.3.

Taxes and delivery: Prices on the Website are indicated in currency (UAH / other if specified on the Website) and include taxes unless otherwise explicitly stated. Information about delivery cost (if paid separately) is provided during checkout and/or in delivery methods. This requirement follows Article 7 of Law No. 675-VIII.


3. Subject of the Agreement

3.1.

The Seller agrees to transfer Goods to the Buyer, and the Buyer agrees to accept and pay for them under the terms of this Offer.

3.2.

This agreement is concluded remotely using information and communication systems, which falls under the scope of the Law of Ukraine “On Electronic Commerce”.


4. Acceptance of the Offer and Moment of Contract Conclusion

4.1.

Acceptance (agreement) of the Offer is the Buyer’s performance of actions indicating consent to the contract terms, including:

  • clicking “Place Order” / “Confirm Order” / “Pay” (or similar); and/or

  • making a payment; and/or

  • confirming the order through another agreed electronic method.

4.2.

The offer to conclude an electronic contract and confirming electronic messages must be generated in the state language unless otherwise agreed by the parties.

4.3.

The contract is considered concluded from the moment the Buyer receives confirmation of the electronic transaction in the form of an electronic document/receipt/invoice or another document as defined by law.


5. Order Placement and Confirmation

5.1.

To place an order, the Buyer selects Goods, adds them to the cart, and fills in the required fields (contact details, delivery information, etc.). The Buyer confirms that the provided information is accurate and up to date.

5.2.

After placing the order, the Buyer receives a transactional message (email) confirming order acceptance and/or other notifications (including payment confirmation). Requirements for electronic transaction confirmation and its mandatory content are defined by Law No. 675-VIII.

5.3.

The Seller has the right to clarify order details via phone call or email.


6. Price, Payment, and Settlement Documents

6.1.

The price of Goods is indicated on the Website and may depend on configuration, size, material, or customization.

6.2. Payment methods (depending on settings):

  • online card payment via payment system/provider;

  • PayPal payment (if available);

  • bank transfer to IBAN (in individual cases by agreement).

6.3.

Card data is entered on the side of the payment provider. The Seller does not receive or store full card details (PAN, CVV/CVC). Tokenization, as described by Stripe, replaces sensitive card data with a token to reduce the risk of storing or transmitting real card data in merchant systems.

6.4.

During payment processing, personal data may be transmitted to payment networks and processors. PayPal explicitly states that personal information is shared for processing payment transactions.

6.5.

Payment receipts/confirmations may be issued in the form of an electronic document/receipt/invoice in accordance with legal requirements and payment infrastructure settings.


7. Delivery and Transfer of Goods

7.1.

Delivery methods are defined on the Website and may include:

  • postal delivery services;

  • courier delivery;

  • pickup via branches or parcel lockers.

7.2.

For delivery, the Buyer must provide accurate shipping information. Law No. 675-VIII stipulates that the Buyer must provide a delivery address where required by the contract.

7.3.

Delivery times depend on the chosen method, carrier schedules, and external circumstances (including force majeure).

7.4.

The Seller’s obligation to deliver Goods may be considered fulfilled upon handing over the shipment to the delivery service (with tracking number issuance) or upon delivery to the Buyer, depending on the agreed model and terms.


8. Returns, Exchanges, and Contract Termination

8.1.

Jewelry items of proper quality in Ukraine are not subject to return or exchange according to Cabinet of Ministers Resolution No. 172. Returns are possible only in case of defects (manufacturing defect) or if the store voluntarily offers such a service.

8.2. For defective goods exchange/return:

  • contact the store with receipt and passport;

  • submit a return/exchange request;

  • the item is sent for inspection (10–14 days);

  • if defect is confirmed, refund or replacement is provided.

8.3. Returns are not possible if:

  • more than 14 days have passed (if exchange is provided by the store);

  • tag is removed or product is tampered with;

  • there are mechanical damages caused by the buyer;

  • product changed color due to chemical influence.


9. Warranties and Product Description

9.1.

The Seller ensures compliance of Goods with agreed quantitative and qualitative characteristics, in accordance with general e-commerce requirements.

9.2.

Information about materials, sizes, care instructions, and warranty terms (if applicable) is provided on the product page and/or in order confirmation.


10. Personal Data and Communications

10.1.

Personal data processing is carried out in accordance with the Seller’s Privacy Policy and applicable law, including legal grounds for processing and data subject rights.

10.2.

Transactional messages (order confirmation, payment confirmation, delivery updates) are part of contract performance and/or confirmation of an electronic transaction.


11. Force Majeure

11.1.

Parties are released from liability for failure or improper performance of obligations due to force majeure circumstances that could not have been foreseen or prevented.

11.2.

The affected party must notify the other party within a reasonable time.


12. Dispute Resolution, Pre-trial Procedure, Jurisdiction

12.1.

This agreement is governed by the laws of Ukraine.

12.2.

All disputes shall be resolved in accordance with the jurisdiction of Ukrainian courts under applicable rules of jurisdiction.

12.3.

Before going to court, the parties shall attempt pre-trial dispute resolution, including:

  • negotiations (email correspondence, meetings);

  • written claims (complaint procedure);

  • mediation;

  • settlement agreement;

  • обращения to authorities where applicable.

12.4.

Pre-trial settlement is a right of the parties.


13. Final Provisions

13.1.

This Offer is valid indefinitely until revoked or replaced by a new version.

13.2.

The Seller may change the terms of the Offer by publishing a new version on the Website. Changes apply to orders placed after the publication date of the new version.
